Terms of Service
The rules of the road for using the Demarc platform, operated by Heron Networks LLC.
1. Acceptance of Terms
By accessing or using Demarc (the “Service”), operated by Heron Networks LLC (“we”, “our”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
Demarc is a project management and documentation platform for low-voltage structured cabling contractors. The Service includes:
- Web application at app.getdemarc.com
- Demarc iOS app (available on the Apple App Store)
- Demarc Android app (available on Google Play)
Features include project management, floor plan documentation with cable drop mapping, Fluke Versiv CSV import and margin analysis, manufacturer warranty PDF generation (Panduit, CommScope, Belden, Leviton, Hubbell, and General formats), daily field logs, punch list tracking, proposal generation, change orders, as-built closeout packages, and client portal sharing.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You agree to notify us immediately at support@heronnetworks.net if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.
Each account is associated with an organization. Multiple team members may share an organization account within the seat limits of the active plan.
4. Acceptable Use
You agree to use the Service only for lawful purposes related to your cabling business operations. You may not:
- Attempt to gain unauthorized access to the Service or any other user's account.
- Interfere with or disrupt the operation of the Service.
- Use the Service to store or transmit malicious code.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to violate any applicable law or regulation.
- Resell or sublicense access to the Service without our written permission.
5. Your Data
You retain ownership of all data you upload to or create within the Service, including project information, photographs, Fluke test result files, floor plans, and generated documents. We do not claim ownership of your content.
You grant us a limited, non-exclusive license to store, process, and display your data solely to provide the Service to you. We do not use your project data for any other purpose, including training AI models.
6. Subscriptions and Payment
Paid features are available through subscription plans (Starter, Pro, Enterprise) billed monthly or annually. Subscriptions are billed via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis for the applicable plan fee.
You may cancel your subscription at any time from the Billing section of your account settings or by contacting us. Upon cancellation:
- Your access continues until the end of the current billing period.
- After the period ends, your account switches to read-only mode — all data remains accessible for export.
- We do not issue refunds for partial periods, except where required by applicable law.
If you use the Demarc iOS app and subscribe through the Apple App Store, or use the Android app and subscribe through Google Play, the respective platform's billing policies and refund policies apply to those in-app purchases.
7. Free Trial
New accounts receive a 14-day free trial with access to features based on the selected plan. No credit card is required to start a trial. At the end of the trial, your account will require a paid subscription to continue creating new data.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances outside our control. We will make reasonable efforts to provide advance notice of planned maintenance. We are not liable for losses resulting from service interruptions.
9. Intellectual Property
The Demarc software, user interface, and all content we create (excluding your data) are owned by Heron Networks LLC and are protected by intellectual property laws. The Demarc name and logo are proprietary. You may not use our trademarks without our written permission.
10. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERON NETWORKS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
Some jurisdictions do not allow limitations on implied warranties or liability for consequential damages. In those jurisdictions, the above limitations apply only to the extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless Heron Networks LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Data Retention and Deletion
We retain your data while your account is active and during the read-only period following cancellation. To fully delete your account and all associated data, contact support@heronnetworks.net. Deletion requests are processed within 30 days, except where retention is required by law.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to account holders at least 14 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
14. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia.
